EdenLM Terms and Conditions

1) Who may use the service

• The service is provided for business use only. You represent that you are using the service for commercial or professional purposes and that you are an authorized representative of your organization.
• You must be at least 18 years old to use the service.

2) Accounts and workspaces

• Organizations are provisioned workspaces. Your organization's administrators control member invitations, roles, and access.
• You are responsible for the security of your account credentials and for all activity under your account. Notify us promptly of suspected unauthorized use.

3) Your data and connected sources

• You or your organization control the data you submit or connect to the service, including information provided through demo, contact, and newsletter forms, and any data made available from third party platforms your admins choose to connect.
• You represent that you have the rights and permissions to provide this data and to authorize our processing of it to operate the service for your organization.
• You are responsible for configuring access controls in your third party systems and maintaining the accuracy of the data you provide.

4) Permitted use, acceptable use, and fair use

Use the service only for your internal business purposes. You will not, and will not permit others to:

• Engage in malicious or abusive activity, including attempting to probe, scan, overload, or disrupt any network, system, or API.
• Circumvent security or access controls, copy or scrape the service, or reverse engineer any part of it except to the extent permitted by law.
• Use the service to violate law, infringe intellectual property or privacy rights, or send unauthorized or unlawful communications.
• Misrepresent your identity or affiliation, share nonpublic content outside your organization without permission, or resell or provide the service to third parties.
• Submit data you are not authorized to share.

⠀Fair use. To protect the service for all customers, EdenLM may enforce reasonable usage limits, including limits on request rate, concurrency, storage, or computational load. EdenLM may throttle, restrict features, suspend, or terminate accounts that materially exceed fair use or that degrade service performance.

5) AI features and outputs

The service uses AI to generate answers, analyses, and recommendations. AI outputs can be incorrect or incomplete. You are responsible for reviewing outputs and exercising independent judgment before relying on them. AI outputs are provided for informational purposes and are not professional advice.

Model choices and training. To the extent the service providers allow, EdenLM configures models and integrations so that customer data is not used to train provider models. Model providers and settings may change over time. EdenLM does not use your customer data to train its own models.

Customer-managed inference. Some customers may choose to run inference on their own infrastructure or accounts, provided that the environment can run models and configurations the service requires for correct operation. If you choose this option, you are responsible for compatibility, performance, security, cost, and compliance for that environment.

Operational use of data. Prompts, inputs, and outputs may be processed to operate, maintain, secure, and improve the service for your organization, consistent with the Privacy Notice. You must not input data you lack rights to use, and you remain responsible for any actions taken in reliance on AI outputs.

6) Third party services

The service may interoperate with third party platforms or data sources that you choose to connect. Each third party's terms and privacy practices apply to its services. EdenLM is not responsible for third party services or for their availability.

7) Privacy

For information about how we collect and use personal information, see the EdenLM Privacy Notice. For customer data inside the product that we process on behalf of your organization, we act according to our agreement with your organization and applicable US law.

8) Fees and payment

If you purchase paid features, you agree to pay the fees presented in the product or in an ordering document, plus applicable taxes. Fees are nonrefundable except where required by law. Late or failed payments may result in suspension or termination of access.

9) Intellectual property and licenses

• EdenLM owns the service and all related technology, designs, and content. No rights are granted except as stated here.
• Subject to these Terms, EdenLM grants you a limited, nonexclusive, nontransferable right to access and use the service for your internal business purposes.
• As between you and EdenLM, you retain your rights in your data. You grant EdenLM a limited license to use your data to provide and maintain the service and to prevent or address service or security issues.
• If you choose to provide feedback, you grant EdenLM a perpetual, irrevocable, royalty-free license to use it without restriction.

10) Confidentiality

Each party may receive confidential information from the other party. The receiving party will protect the other party's confidential information using reasonable measures and will use it only to perform under these Terms. These obligations do not apply to information that is public, independently developed, or lawfully received from another source.

11) Changes and availability

EdenLM may update or modify the service or these Terms from time to time. If changes are material, we will use reasonable means to notify you, for example by posting in the service. The service may be unavailable from time to time due to maintenance or factors outside our control.

12) Term, suspension, and termination

• Subscription terms. The service is offered on monthly or annual terms, as specified in your order. Subscriptions renew automatically for the same term unless you provide notice of non-renewal before the current term ends.
• Cancellation. You may cancel at any time. Cancellation takes effect at the end of the then-current term. Fees paid are nonrefundable, and you remain responsible for any unpaid amounts through the end of the term, except where required by law.
• Fee changes on renewal. EdenLM may update prices effective on a renewal term. If you do not agree to the new fees, you may opt out of renewal.
• Suspension. EdenLM may suspend or restrict access immediately for nonpayment, violation of these Terms, malicious or abusive activity, or to comply with law or protect the service or others.
• Termination. EdenLM may terminate for cause, including material breach that is not cured after notice where reasonable, or immediately for activity that poses security, legal, or service risk. Upon termination, your right to access the service ends.
• Data after termination. Upon request within a reasonable period after termination, EdenLM will make available a commercially reasonable export of your organization's data then in our possession, subject to technical feasibility and security. EdenLM may delete data from active systems after that period, subject to any legal retention requirements.
• Survival. Sections that by their nature should survive will survive, including confidentiality, IP ownership, fees, disclaimers, limitations of liability, indemnities, and governing law.

13) Warranties and disclaimers

You use the service at your own risk. To the maximum extent permitted by law, the service is provided as is and as available, and EdenLM disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, noninfringement, and noninterference.

14) Limitation of liability

To the maximum extent permitted by law, EdenLM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business interruption. EdenLM's total liability for any claim arising out of or relating to the service will not exceed the greater of 100 dollars or the amounts you paid to EdenLM for the service that gave rise to the claim during the twelve months before the claim.

15) Indemnification

You will defend, indemnify, and hold harmless EdenLM and its affiliates, officers, directors, employees, and agents from and against claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: your data or your connections to third party services, your use of the service in violation of these Terms or law, or alleged infringement or violation of rights by content you provide or actions you direct.

16) Export and compliance

You represent that you are located in the United States and that you will comply with US export control and sanctions laws. You will not use the service for unlawful purposes or in high risk contexts where failure could lead to death, personal injury, or severe environmental or property damage.

17) Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. The exclusive venue for any action arising out of or relating to these Terms or the service is the state and federal courts located in Delaware, and the parties consent to personal jurisdiction in those courts.
